Maslow Terms of Service

These Terms are between Maslow Technologies Ltd, trading as "Maslow" (together with its Affiliates, "Maslow", "we", "us", "our"), and the legal entity accepting these Terms ("Customer", "you", "your").

1. Affiliate means any entity that controls, is controlled by, or is under common control with a party.
2. Candidate means any individual interviewed, assessed, or otherwise evaluated using the Services, whether or not the Candidate has an account.
3. Content means all information, data, text, audio, video, transcripts, recordings, notes, feedback, reports, and other materials that are (a) submitted to the Services by or on behalf of the Customer or Users, or (b) generated by the Services from such submissions.
4. Customer Content means Content provided by or on behalf of the Customer, including Candidate-related Content.
5. Documentation means user guides, onboarding materials, product descriptions, and technical documentation for the Services that we make available.
6. Order Form means an ordering document, checkout flow, or in-app plan selection that specifies subscription plan, fees, usage limits, and subscription term.
7. Services means Maslow's software, web application, browser extension(s), APIs, and related services, including Documentation and outputs generated through them.
8. User means any individual authorised by the Customer to access and use the Services (including employees, contractors, and agents).
9. AI Outputs means summaries, insights, scores, recommendations, analytics, reports, or other outputs generated by automated or AI-assisted features.

Maslow provides software designed to support structured interviews, evidence capture, and interview reporting.

Maslow does not: (a) make hiring decisions; (b) provide legal, employment, HR, tax, or compliance advice; (c) guarantee hiring outcomes; (d) act as an employer, recruiter, employment agency, or agent for Candidates.

The Customer remains solely responsible for (i) how the Services are used in its hiring process, and (ii) all hiring and employment decisions.

You represent and warrant that: (a) you are at least 18 years old; (b) you have authority to bind the entity you represent; and (c) your use of the Services complies with applicable laws and regulations.

The Customer is responsible for all activity under its account(s), including activity by Users. You must provide accurate and complete registration information and keep it up to date. You must safeguard credentials and promptly notify us of unauthorised access.

We are not liable for losses caused by unauthorised use where the Customer did not maintain reasonable security practices.

Fees are billed according to your selected plan and the applicable Order Form. Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes (excluding our income taxes).

Payments are non-refundable except where required by law or expressly stated in the Order Form. We may change pricing for future subscription terms with reasonable notice before renewal. Failure to pay may result in suspension or termination of access.

You must not, and must not permit Users or any third party to:

• (a) use the Services for unlawful, discriminatory, or retaliatory purposes;
• (b) violate employment, privacy, or data protection laws;
• (c) reverse engineer, decompile, or attempt to extract source code;
• (d) copy, resell, or make the Services available to third parties;
• (e) interfere with system integrity;
• (f) scrape or harvest data;
• (g) build a competing product;
• (h) replace human decision-making with automated scoring;
• (i) misrepresent AI Outputs as factual determinations.

We may suspend or restrict access to protect the Services, other customers, Candidates, or Maslow where we reasonably believe misuse has occurred.

Customer ownership. As between Maslow and the Customer, the Customer retains all right, title, and interest in Customer Content.

Licence to provide the Services. You grant Maslow and its Affiliates a limited, non-exclusive, worldwide, royalty-free licence to host, process, transmit, display, and use Customer Content only as necessary to: (a) provide, secure, and maintain the Services; (b) generate AI Outputs, reports, analytics, and insights; (c) provide support and troubleshoot at your request.

Aggregated and anonymised data. We may create and use aggregated and anonymised data derived from use of the Services to operate, secure, improve, and develop the Services, provided that such data does not identify a Candidate, User, or Customer.

Notices and consents. You represent and warrant that you will: (a) inform Candidates about recording, transcription, and analysis; (b) obtain all consents required by applicable law; and (c) ensure lawful processing of Candidate personal data.

Feature availability. If a Candidate opts out of recording or you disable recording, features dependent on recording or transcription may be unavailable for that session.

Candidate is not a party. Candidates are not parties to these Terms, and you are responsible for Candidate-facing communications.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law. Subject to that, to the maximum extent permitted by law: (a) we are not liable for indirect, incidental, or consequential damages; (b) our total aggregate liability is limited to the fees paid by the Customer in the 12 months preceding the claim.

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory local law requires otherwise.

We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the Services or by email. Continued use after the effective date constitutes acceptance, except where prohibited by applicable law.

1. No partnership. These Terms do not create a partnership, joint venture, agency, or employment relationship.
2. No third-party beneficiaries. There are no third-party beneficiaries to these Terms, including Candidates.
3. Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an Affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets.
4. Severability. If any provision is unenforceable, the remainder remains in effect.
5. Waiver. A failure to enforce a provision is not a waiver.
6. Notices. Notices will be provided by email to the account owner email on record (or as otherwise specified in an Order Form).
7. Entire agreement. These Terms, the Order Form, the DPA, and incorporated policies form the entire agreement regarding the Services.
